These Terms constitute a legally binding agreement between you and Digi Smart Manager. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on our website.

2. Description of Service

Digi Smart Manager is a Customer Relationship Management (CRM) platform designed specifically for registered CSC (Common Service Center) Centers. Our Service includes:

  • Customer data management and storage
  • Service tracking and deadline monitoring
  • Automated reminder system via WhatsApp
  • Payment tracking and management
  • Reporting and analytics features
  • Dashboard access for managing your CSC operations

3. Eligibility and Registration

3.1 Eligibility

To use our Service, you must:

  • Be a registered CSC Center or authorized representative
  • Be at least 18 years of age or have legal authority to enter into contracts
  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate
  • Have the legal capacity to enter into these Terms

3.2 Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Provide accurate registration information
  • Verify your email address through OTP verification
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Subscription Plans and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Plan details, features, and pricing are subject to change with prior notice.

4.2 Payment Terms

  • Subscription fees are payable in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or as specified in our Refund Policy
  • We accept payments through secure payment gateways
  • You are responsible for any taxes applicable to your subscription
  • Failed payments may result in service suspension

4.3 Free Trial

We may offer a free trial period. After the trial expires, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Price Changes

We reserve the right to modify subscription prices. Existing subscribers will be notified at least 30 days in advance. Price changes will apply to subsequent billing cycles.

5. User Responsibilities and Acceptable Use

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Share your account credentials with unauthorized parties
  • Use the Service to send spam, phishing, or malicious content

5.2 Customer Data

You are solely responsible for the accuracy, legality, and appropriateness of customer data you store in the Service. You warrant that you have the right to store and process such data.

6. Intellectual Property Rights

The Service, including all content, features, functionality, software, and design, is owned by Digi Smart Manager and protected by copyright, trademark, and other intellectual property laws.

  • You are granted a limited, non-exclusive, non-transferable license to use the Service
  • You may not copy, modify, distribute, or create derivative works of the Service
  • You retain ownership of data you upload, but grant us a license to use it to provide the Service
  • Our trademarks and logos may not be used without written permission

7. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service
  • Perform maintenance that may temporarily affect availability
  • Update features and functionality
  • Remove or restrict access to content that violates these Terms

We will make reasonable efforts to notify users of significant service interruptions or changes.

8. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or our policies
  • You fail to pay subscription fees
  • You engage in fraudulent or illegal activities
  • We are required to do so by law

9.3 Effect of Termination

Upon termination, your access to the Service will cease. We may delete your data after a reasonable retention period. You are responsible for exporting your data before termination.

10. Limitation of Liability

IMPORTANT: Please read this section carefully as it limits our liability.

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind
  • We do not guarantee that the Service will meet your specific requirements
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid in the 12 months preceding the claim
  • We are not responsible for data loss, business interruption, or loss of profits

11. Indemnification

You agree to indemnify, defend, and hold harmless Digi Smart Manager and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content or data you submit through the Service

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  1. Negotiation: Parties will attempt to resolve disputes through good faith negotiation
  2. Mediation: If negotiation fails, disputes may be referred to mediation
  3. Arbitration: Disputes may be resolved through binding arbitration in accordance with Indian Arbitration laws
  4. Jurisdiction: These Terms are governed by the laws of India, and courts in India shall have exclusive jurisdiction

13. Refund Policy

Subscription fees are generally non-refundable. However, refunds may be considered in the following circumstances:

  • Service failure or technical issues preventing use of the Service
  • Duplicate payments or billing errors
  • As required by applicable consumer protection laws

Refund requests must be submitted within 7 days of payment. Refunds will be processed within 14 business days.

14. Referral Program

We may offer referral programs where you can earn rewards for referring other CSC Centers. Terms and conditions for referral programs will be communicated separately and may be modified or discontinued at any time.

15. Third-Party Services

Our Service may integrate with third-party services (e.g., WhatsApp Business API, payment gateways). Your use of such services is subject to their respective terms and conditions. We are not responsible for third-party services.

16. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet/telecommunications failures.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Digi Smart Manager regarding the Service and supersede all prior agreements.

20. Acknowledgment

By using Digi Smart Manager, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please discontinue use of the Service immediately.
